Terms of Service

1. Overview of the Service

Preproo provides digital educational content through two primary offerings:

• Subscription Content: Time-based educational content delivered on a daily schedule covering Australian certifications, licences, and professional exams.
• Library Materials: Downloadable or email-delivered digital study materials including exam prep guides, summaries, and educational resources.

2. Account Registration

1. You must create an account to access paid features of the Service. You agree to provide accurate and complete information during registration.
2. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3. You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have obtained parental or guardian consent.
4. We reserve the right to refuse or terminate accounts at our discretion, including for providing false information, violating these Terms, or engaging in fraudulent activity.

3. Purchases and Payment

1. All prices are listed in Australian dollars (AUD) and are subject to change without prior notice.
2. Payment is due at the time of purchase. We accept the payment methods displayed at checkout.
3. By completing a purchase, you authorise us to charge your selected payment method for the total amount of your order.
4. All sales are subject to our Refund Policy.
5. Prices displayed include GST where applicable, in accordance with the A New Tax System (Goods and Services Tax) Act 1999.

4. Subscription Service

1. Subscription content is delivered on a daily schedule beginning the day after payment confirmation.
2. Subscriptions are for a fixed duration as specified at the time of purchase and do not automatically renew.
3. We reserve the right to modify the delivery schedule or content format with reasonable notice.

5. Library Materials

1. Purchased materials are delivered via one of the following methods:
   • Instant download (may be subject to download limits as specified on the product page)
   • Email delivery by the content provider
2. For email-delivered materials, you consent to sharing your name and email address with the content provider for the sole purpose of delivering the purchased materials.
3. Download availability and limits are specified on each product page. We are not responsible for failed downloads caused by your browser settings, device limitations, or network issues.

6. Intellectual Property

1. All content provided through the Service, including text, graphics, logos, and digital materials, is owned by Preproo or its content licensors and is protected by copyright and other intellectual property laws, including the Copyright Act 1968 (Cth).
2. Your purchase grants you a limited, non-exclusive, non-transferable, personal licence to use the content for your own private, non-commercial educational purposes only.
3. You may NOT:
   • Copy, reproduce, distribute, or share purchased content with others
   • Create derivative works based on our content
   • Use the content for any commercial purpose
   • Remove or alter any copyright notices or watermarks
   • Resell, sublicence, or transfer access to any content
4. Violation of these restrictions may result in immediate termination of your account and legal action.

7. User Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Provide false or misleading information
• Impersonate any person or entity
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorised access to any part of the Service
• Use automated tools to scrape, crawl, or extract content from the Service

8. Account Termination

1. You may deactivate your account at any time through your account settings or by contacting us.
2. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.
3. Upon termination, your right to access purchased content may be revoked. No refund will be issued for termination due to Terms violations.

9. Disclaimers

1. THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
2. We do not guarantee that the content is accurate, complete, or current. Educational content is provided as a study aid only and does not guarantee any particular exam results or outcomes.
3. For materials provided by third-party content creators, Preproo acts as a marketplace and does not guarantee the quality or accuracy of such materials.
4. We are not responsible for service interruptions caused by third-party platforms, natural disasters, or other events beyond our reasonable control.

10. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded or limited. If the Australian Consumer Law applies, our liability for a failure to comply with a consumer guarantee is limited to (at our election): re-supplying the digital content, or paying the cost of re-supply.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE AUSTRALIAN CONSUMER LAW, PREPROO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Preproo and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

14. Dispute Resolution

1. We encourage you to contact us first at support@preproo.com to resolve any dispute informally.
2. If a dispute cannot be resolved informally, you may contact the Australian Competition and Consumer Commission (ACCC) or your relevant state or territory consumer protection agency.
3. Any unresolved disputes shall be subject to the jurisdiction of the courts of Australia.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of Australia. Nothing in these Terms limits your rights under the Australian Consumer Law or other applicable Australian legislation.

16. Changes to These Terms

1. We may update these Terms at any time. We will notify you of material changes by posting the revised Terms on our website and updating the "Effective Date."
2. For changes that materially reduce your rights, we will provide at least 30 days' notice before the changes take effect.
3. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service and may close your account.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
